Martha Bruce is an executive director and co-founder of Bruce Wallace Associates Limited. As a Chartered Secretary with many years’ experience, she provides complex as well as more routine company secretarial advice and services to clients.
She is named secretary of a number of AIM listed companies as well as a number of FCA regulated groups and routinely attends board, committee and other client meetings to record proceedings, provide practical advice and ensure the requirements of company law and ‘best practice’ in corporate governance are observed. Her experience extends over a wide range of associated disciplines, including board evaluation, intellectual property and trade mark registration, data protection and employment matters.
As well as providing practical advice to help directors fulfil the daily challenges that running a company presents, Martha has also written a number of books on the subject and presented at seminars.
Susan Wallace is a Fellow of the Institute of Chartered Secretaries and Administrators and the author of the ICSA Company Secretary’s Troubleshooter (3rd edition - June 2012). Susan also updates Butterworths Company Secretarial Procedures and Precedents and contributes to the Butterworths Corporate Law Service on corporate administration and incorporation formalities.
Susan’s clients comprise overseas companies listed in the UK with the main trading activities being carried out in other jurisdictions. Susan advises directors on UK governance and regulatory issues, she also assists other professional tax and legal advisers with ad hoc technical restructuring share issues and the administration of all types of incentive plans from set up to dealing with the annual reporting obligations.
Anne-Marie has nearly 20 years’ experience in the company secretarial field, having worked for a variety of businesses both in house and in consultancy roles.
She primarily works with a number of listed clients, providing both specialist governance advice and ongoing board support. Prior to joining Bruce Wallace Associates, Anne-Marie worked in house for a number of main market companies and was previously Company Secretary of an AIM listed company. Her experience also covers working with large not for profits, private companies and professional membership organisations.
Chloe Higgins is an Associate of the Institute of Chartered Secretaries and Administrators with 10 years’ experience in the company secretarial field, gained within professional services.
Prior to joining Bruce Wallace Associates, Chloe was a Manager at Equiniti David Venus where she managed a diverse client base including listed companies, charities, overseas companies and private limited companies. In this role she provided both routine compliance support and technical guidance in respect of more complex client queries and projects.
When she joined Bruce Wallace, Chloe was quick to establish a strong relationship with our clients, particularly AIM listed entities and the large private groups.
Chloe has successfully led and facilitated numerous ad-hoc client projects including capital reductions, corporate reviews, restructuring projects, annual report and accounts review projects and has also guided a number of clients through the complexities of the IPO process.
Adrienne is a Fellow of the Institute of Chartered Secretaries and Administrators and has 13 years’ experience working in financial services.
Adrienne started her company secretarial career at JP Morgan Chase & Co. She then went on to work at BNP Paribas London Branch where her key responsibilities included the day-to-day management and operation of the Company Secretariat function for CIB BNP Paribas.
Having joined Bruce Wallace Associates Limited, Adrienne regularly attends and minutes client meetings, undertakes statutory compliance tasks and works on ad-hoc client projects. Adrienne works with Dilani and Chloe to provide a seamless company secretarial experience for clients.
